Welcome to Hydron. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Hydron regarding your use of our AI-powered infrastructure planning and deployment automation platform, including all associated services, features, content, and applications.

We reserve the right to modify these Terms at any time. Your continued use of the service after any such changes constitutes your acceptance of the new Terms. We will provide notice of material changes through our service or via email.

Hydron provides an AI-powered platform for infrastructure planning, configuration, and deployment automation. Our services include but are not limited to:

• Automated infrastructure planning and optimization
• Server provisioning and configuration management
• Dedicated server deployment and management
• Infrastructure as Code (IaC) generation
• Real-time deployment monitoring and management
• AI-assisted infrastructure recommendations

The service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice, though we will make reasonable efforts to notify users of significant changes.

To access certain features of our service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious or fraudulent activity.

Accounts are intended for individual or organizational use only. You may not share your account credentials with others or allow others to access your account except as explicitly permitted by our service plans.

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law
• Infringe upon or violate the intellectual property rights of others
• Transmit any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the service or servers
• Use the service for any illegal or unauthorized purpose
• Engage in any conduct that restricts or inhibits anyone's use of the service
• Impersonate any person or entity or misrepresent your affiliation
• Use automated systems to access the service without permission
• Attempt to reverse engineer or decompile any part of the service

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

The service and all its original content, features, and functionality are owned by Hydron and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our Content: All content provided through our service, including but not limited to text, graphics, logos, icons, images, audio clips, software, and AI-generated recommendations, is our property or the property of our licensors and is protected by applicable intellectual property laws.

Your Content: You retain all rights to any infrastructure configurations, code, or content that you submit, post, or display through our service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute Your Content solely for the purpose of providing and improving our services.

Generated Content: Infrastructure plans, configurations, and code generated by our AI systems based on your inputs are provided to you under a non-exclusive license for your use. However, similar outputs may be generated for other users with similar requests.

You may not copy, modify, distribute, sell, or lease any part of our service or software without our express written permission. You may not reverse engineer or attempt to extract the source code of our software unless expressly permitted by applicable law.

Certain aspects of our service may require payment. By providing payment information, you represent and warrant that:

• You have the legal right to use any payment method(s) provided
• The information you provide is accurate and complete
• You will pay all charges incurred at the prices in effect when such charges are incurred

Subscription Fees: If you purchase a subscription, you agree to pay all applicable subscription fees. Subscription fees are billed in advance on a recurring basis (monthly or annually, as applicable) and are non-refundable except as required by law.

Usage-Based Fees: Certain features may incur usage-based charges based on infrastructure deployments, API calls, or resource consumption. You will be notified of applicable rates, and you agree to pay all such charges.

Price Changes: We reserve the right to change our pricing at any time. We will provide advance notice of price changes, and such changes will not affect your current billing cycle.

Taxes: All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for all such taxes except for taxes based on our net income.

Payment Methods: We accept major credit cards and other payment methods as indicated in our service. You authorize us to charge your payment method for all fees incurred.

Failed Payments: If payment fails, we may suspend or terminate your access to paid features. You remain responsible for any uncollected amounts.

Our service may interoperate with optional third-party services you connect. Your use of those services is subject to their respective terms and conditions:

• You are solely responsible for your relationship with third-party providers
• You must comply with all third-party provider terms and conditions
• We are not responsible for any third-party provider services, costs, or policies
• You are responsible for all charges incurred with third-party providers
• We make no warranties regarding third-party services or availability

By connecting your third-party provider accounts to our service, you authorize us to access and manage resources on your behalf as necessary to provide our services. We will only perform actions explicitly requested by you through our platform.

You acknowledge that third-party services may have their own terms, privacy policies, and pricing that are independent of Hydron. Any disputes with third-party providers are solely between you and that provider.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our service, you consent to our collection and use of information as described in our Privacy Policy.

Data Security: We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

Your Responsibilities: You are responsible for maintaining the confidentiality of your account credentials, API keys, and any sensitive information you provide through our service.

Data Retention: We retain your data for as long as necessary to provide our services and as required by law. You may request deletion of your data, subject to our legal obligations and legitimate business interests.

Infrastructure Credentials: When you provide credentials for third-party cloud providers, we store them securely using encryption and industry best practices. We access these credentials only to perform actions you explicitly request.

Service Provided "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

No Guarantee of Results: We do not warrant that the service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the service will be accurate, reliable, or complete. We do not warrant that defects will be corrected or that the service is free of viruses or other harmful components.

AI-Generated Content: Our service uses artificial intelligence to generate infrastructure recommendations and configurations. While we strive for accuracy, AI-generated content may contain errors or may not be suitable for all use cases. You are responsible for reviewing and validating all generated content before deployment.

Infrastructure Deployments: You acknowledge that deploying infrastructure carries inherent risks. We are not responsible for any issues, costs, data loss, security breaches, or other problems arising from infrastructure deployments, even if facilitated through our service.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HYDRON, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Hydron, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or related to:

• Your use or misuse of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content you submit, post, or transmit through the service
• Infrastructure deployments made using our service
• Any disputes with third-party services you choose to connect

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the service will immediately cease.

Termination by Us: We may suspend or terminate your account and access to the service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Violation of applicable laws
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies

Effect of Termination: Upon termination, all licenses and rights granted to you under these Terms will immediately cease. We may delete your account and all associated data, though we may retain certain information as required by law or legitimate business purposes.

Surviving Provisions: All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Hydron is registered, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising out of or relating to these Terms or the service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration in accordance with the rules of a recognized arbitration association.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

Jurisdiction: You agree to submit to the personal jurisdiction of the courts located in the jurisdiction where Hydron is registered for the purpose of litigating all such claims or disputes.

Exceptions: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the service or infringement of intellectual property rights without first engaging in arbitration or the informal dispute resolution process.

You acknowledge that the service and underlying technology may be subject to export control laws and regulations. You agree to comply with all applicable export and import control laws and regulations, including but not limited to the Export Administration Regulations maintained by the U.S. Department of Commerce.

You represent and warrant that you are not located in any country subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict access to parts or all of the service without notice or liability.

We will make reasonable efforts to notify users of material changes to the service through email or in-app notifications. However, it is your responsibility to review these Terms periodically for any changes.

We welcome your feedback and suggestions about our service. By submitting feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our service without any obligation to you.

You agree that we may use your feedback for any purpose, including product improvements, marketing, and promotional materials, without compensation or attribution.

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the service, constitute the entire agreement between you and Hydron concerning the service.

Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
